Radiance Cloud Terms of Service

Introduction
This document ("Terms") outlines the rules governing your access to and use of the services provided by Radiance Cloud AB, a Swedish corporation ("we," "us," "our," or "Company"). These services include our website https://radiance.cloud/ ("Website"), our APIs, and any related offerings (collectively, the "Services"). Violating these rules may lead to the suspension or termination of your access.
Radiance Cloud at a Glance (TLDR):
- Our Role: We offer production-ready, scalable APIs for leading open-source AI models and infrastructure for custom models.
- Your Use: You can run AI models via API for legitimate commercial purposes, subject to specific prohibitions.
- Model Licensing: Open-source models are subject to their own specific licenses, which you must also follow.
- Data Privacy: We treat your API inputs and outputs as private. We do not sell, store, or train on your data, though we may briefly cache it for debugging. For details, see our Privacy Policy.
- Your Agreement: By using the Services, you confirm you are at least 18 years old and agree to these Terms.
Acceptance of Terms
By accessing the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to do so. If you do not agree, you must stop using the Services immediately.
We may update these Terms at any time. Changes take effect immediately upon posting. Your continued use of the Services after updates are posted constitutes acceptance of the new Terms.
Dispute Resolution
You and we agree to resolve disputes through binding arbitration in Stockholm, Sweden, as detailed below.
Services
You must create an account to use our Services. Pricing depends on the models you use, and you agree to pay all accrued fees at the end of each billing cycle. We will charge the payment method on file. We reserve the right to modify payment terms and to change or discontinue any Service.
If we discontinue a material feature you use, we will try to provide reasonable notice, unless immediate action is required for legal, security, or emergency reasons.
Account Security
You are responsible for keeping your account credentials (passwords, API keys) confidential. You are liable for all activity under your account, whether authorized by you or not. Notify us immediately of any unauthorized access. You may not use another person's account.
Required Conduct
You agree to use the Services in compliance with all applicable laws and regulations, including Swedish and EU laws. Failure to follow these rules may result in termination of your access.
Prohibited Actions
You must not:
- Use the Services to build a competing product or service.
- Reverse engineer or attempt to derive source code (except for open-source elements).
- Remove copyright or proprietary notices.
- Breach security measures, interfere with authentication, or overload our systems (e.g., DDoS attacks).
- Introduce viruses, malware, or harmful code.
- Engage in fraud, illegal activity, or unauthorized impersonation.
- Use the Services in a way that infringes on the rights of others or violates laws.
Suspension and Termination
We may suspend or terminate your account at our discretion, with or without notice, for any reason. We are not liable for any loss of access.
Termination by You
You may close your account at any time by notifying us, provided all outstanding fees are paid. Once closed, we may retain your account data for 30 days for fraud prevention before deleting it in accordance with our Privacy Policy.
Your Submissions
When you send data ("Submissions") to our models, you retain ownership rights. You grant us a license to process these Submissions solely to provide the Services and for internal debugging. We do not own, sell, or train models on your Submissions unless you explicitly request training services.
You warrant that you have the necessary rights to provide these Submissions and that they do not violate any laws or third-party rights.
Intellectual Property
Except for open-source components and your generated content, we own all rights to the Services, Website, and related materials ("Radiance Cloud IP"). You are granted a limited, revocable license to use our IP solely to access the Services.
Feedback
If you provide suggestions or feedback, we may use them freely without obligation or compensation to you.
Copyright Infringement
If you believe content on our Services infringes your copyright, please contact us at [email protected] with details of your claim. We take intellectual property rights seriously and will investigate all valid notices.
Third-Party Content
We may link to or host third-party content and open-source models. We do not control or endorse this content and are not responsible for it. Your use of third-party content is at your own risk and subject to its own terms.
Warranties and Liability
Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY SWEDISH LAW, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES (E.G., LOST PROFITS, BUSINESS INTERRUPTION).
Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the Services, your Submissions, or your violation of these Terms or applicable laws.
Legal Disputes and Arbitration
Any disputes arising from these Terms will be resolved by binding arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC). The seat of arbitration shall be Stockholm, Sweden. The language of the proceedings shall be English.
Consumer Rights
If you are an EU consumer, you have access to alternative dispute resolution mechanisms, including the European Commission's Online Dispute Resolution (ODR) platform and the Swedish National Board for Consumer Disputes (ARN).
General Provisions
- Governing Law: The laws of Sweden apply, without regard to conflict of law principles.
- Severability: If a provision is invalid, the rest of the Terms remain in effect.
- No Waiver: Failure to enforce a right does not waive it.
- Assignment: You may not assign these Terms without consent; we may assign them freely.
- Force Majeure: We are not liable for failure to perform due to causes beyond our control (e.g., natural disasters, war).
- Export Control: You agree to comply with applicable export laws, including EU and US regulations.
